Corporate Associate



  • Location: CA-Walnut Creek or Remote, US


Boutique corporate law firm has an immediate opening for a Corporate Associate! This Corporate Associate will join a small team of attorneys and staff focusing on commercial transactions with an expertise in the technology industry. As part of this team, you’ll manage a variety of transactions including but not limited to debit and equity financing, mergers and acquisitions, and contracts. If you’re looking to join an established firm with multiple domestic an international offices and work under excellent mentorship, this is the position for you! Although the firm is in the Bay Area, this is a remote position and candidates from across the United State are encouraged to apply. The ideal candidate will have 3-5 years of corporate transactional experience in an attorney capacity; a CA Bar licensed is highly preferred but those licensed in other states will still be considered.


Responsibilities will include:



  • Manage and maintain strong client relationships with domestic and international businesses

  • Assist with all phases of M& A transactions for small and large deals

  • Advise on and lead debt and equity financing

  • Draft, redline, and negotiate a variety of contracts including licensing agreements

  • Legal research and drafting of a wide range of legal documents

  • Projects as assigned


Requirements



  • 3-5 years of corporate transactional experience in an attorney capacity

  • CA Bar licensed is highly preferred but those licensed in other states will still be considered

  • Ability to work remotely

  • Ability to thrive in a dynamic, high-pressure environment, to prioritize tasks and adapt to quick changes while remaining diligent through each task performed

  • Attention to detail and demonstrated ability to follow standard procedures is a requirement

  • Mergers & Acquisitions (M& A) experience preferred

  • Comprehensive knowledge of debt financing preferred

  • Equity Financing experience preferred

  • Understanding of Licensing Agreements preferred

  • Excellent oral and written communication skills

  • Must possess analytical, legal research and writing skills
